Terms of Service

1. Introduction

Welcome to Cassian ("Platform"), operated by Cassian Technologies ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our GPU cloud platform and related services.

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.

2. Service Description

Cassian is a GPU cloud platform for developers. Our services include:

• On-demand GPU instance provisioning
• Persistent storage volumes and S3-backed object storage
• CLI and web dashboard for instance management
• SSH access to running instances
• Per-minute billing for compute resources
• Workspace save and restore functionality

3. User Accounts and Responsibilities

To access certain features of the Platform, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials and API tokens
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent.

4. Acceptable Use Policy

You agree not to use the Platform to:

• Violate any applicable laws, regulations, or third-party rights
• Mine cryptocurrency or run proof-of-work computations
• Launch denial-of-service attacks or other malicious network activity
• Store or distribute illegal content
• Attempt to gain unauthorized access to other users' instances or data
• Circumvent resource limits, billing mechanisms, or usage quotas
• Transmit viruses, malware, or other harmful code
• Resell or sublicense access to GPU resources without our written permission

5. Billing and Payment

Usage is billed per minute based on the resources allocated to your instances. You agree to:

• Maintain sufficient credits in your account for active resources
• Pay all charges incurred under your account
• Accept that instances may be stopped if your credit balance reaches zero

Pricing is listed on our website and may change with 30 days notice. Credits are non-refundable except where required by law.

6. Data and Content

You retain ownership of all code, data, and content you upload or create on the Platform. You are responsible for:

• Maintaining backups of your data
• Ensuring your use of the Platform complies with applicable data protection laws
• Any content stored in your instances and volumes

We do not access the contents of your instances or volumes except as necessary for Platform operation, security enforcement, or when required by law.

7. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may:

• Perform scheduled maintenance with reasonable advance notice
• Throttle or suspend instances that violate our acceptable use policy
• Limit GPU availability based on capacity

8. Data Privacy and Security

We take the privacy and security of your data seriously. Our data practices include:

• Encryption of data in transit and at rest
• Container isolation between user instances
• Token-based authentication and access controls
• Regular security monitoring

By using the Platform, you consent to the collection, use, and processing of your information as described in our Privacy Policy.

9. Intellectual Property

The Platform and its original content, features, and functionality are owned by Cassian Technologies and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Platform or included software, nor may you reverse engineer or attempt to extract the source code of that software.

10. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Platform will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Platform is free of viruses or other harmful components.

11. Limitation of Liability

To the maximum extent permitted by law, Cassian Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with your use of the Platform.

In no event shall our total liability exceed the amount you paid to us in the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

12. Termination

We may terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason, including if you breach these Terms or violate our acceptable use policy.

Upon termination, your right to use the Platform will immediately cease. Running instances will be stopped and data in volumes may be deleted after a reasonable grace period.

You may terminate your account at any time by contacting us at support@trycassian.com. We will provide reasonable assistance in exporting your data upon request.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Platform and updating the "Last updated" date.

Your continued use of the Platform after any changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Platform.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Platform shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.
