Welcome to Cassian Platform ("Platform"), operated by Cassian Technologies ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website at platform.trycassian.com and related services.

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.

2. Service Description

Cassian Platform is a SBA loan application platform designed for lenders and borrowers. Our services include:

• Lender workspace with dashboard and borrower tracking
• Multi-step loan application wizard for borrowers
• AI-powered document parsing and validation
• Automated email follow-ups for incomplete applications
• Credit memo generation and underwriting assistance
• Document management and secure storage

3. User Accounts and Responsibilities

To access certain features of the Platform, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

8. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Platform will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Platform is free of viruses or other harmful components.

The Platform provides tools to assist with loan applications and underwriting but does not provide financial, legal, or professional advice. All lending decisions remain the sole responsibility of the lender.

9. Limitation of Liability

To the maximum extent permitted by law, Cassian Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with your use of the Platform.

In no event shall our total liability exceed the amount you paid to us, if any, in the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Cassian Technologies and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or in connection with:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any rights of another party
• Any content you submit to the Platform

11. Termination

We may terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Platform will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

You may terminate your account at any time by contacting us at support@trycassian.com. We will provide reasonable assistance in exporting your data upon request.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Platform and updating the "Last updated" date.

Your continued use of the Platform after any changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Platform.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Platform shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cassian Technologies regarding the Platform and supersede all prior agreements and understandings.
